Sales Terms

These Sales Terms govern subscriptions to the paid Tubindex plan, offered with no commitment at €19.99 VAT incl. per month or €199 VAT incl. per year (or the price in your currency, see Section 3), after a 30-day free trial.

1. Scope

These Sales Terms ("Sales Terms") govern the paid subscription to the Tubindex service (the "Service"), accessible at tubindex.com. They apply to any subscription, whether entered into by a consumer or a business.

The Sales Terms supplement the Terms of Use and the Privacy Policy, which remain fully applicable.

3. Price

The subscription comes in two plans: monthly and annual. The annual price equals ten (10) monthly payments, rounded down to the whole unit: two months are free. The price depends on the currency of your country of residence:

  • Euro (EUR): €19.99 per month or €199 per year, tax included;
  • Pound sterling (GBP): £17.99 per month or £179 per year, tax included;
  • Swiss franc (CHF): CHF 19.90 per month or CHF 199 per year, tax included;
  • Australian dollar (AUD): A$29.99 per month or A$299 per year, tax included;
  • US dollar (USD): $19.99 per month or $199 per year, before tax;
  • Canadian dollar (CAD): CA$24.99 per month or CA$249 per year, before tax.

A tax-included price is the final price: no tax is added at payment. For a price before tax, the applicable sales tax is added at payment, where it applies.

The applicable tax depends on your billing address. A business customer established in an EU member state other than Bulgaria, and holding a valid intra-EU VAT number, is invoiced without VAT under the reverse-charge mechanism: the customer accounts for the VAT due in its own country.

The stated price is firm for the duration of the billed period, month or year. Any change is subject to the procedure set out in Section 10.

4. Free trial

Every new account is entitled to thirty (30) days of free trial, with no requirement to provide a payment method during account creation. The free trial is granted only once per user.

At the end of the trial period, no automatic charge occurs: continued paid use of the Service requires your explicit subscription action and voluntary provision of a payment method. Absent action on your part, the account switches to a restricted mode or is simply closed, at no cost. If you subscribe during the free trial, to the monthly or the annual plan, you keep the remaining trial days, and your payment method is first charged two hours before the free access ends, so that access continues without interruption.

5. Payment

Payment is made online by bank card, via a secure payment processor. This processor is Stripe. Payment takes place on the secure payment page of Stripe. Card data does not transit through, and is not stored by, Tubindex.

Payment is due on the subscription date (or, if you subscribe during the free trial, at the end of the free access, see Section 4), and then on each anniversary date: every month for the monthly plan, every year for the annual plan. The subscription renews automatically for a period of the same length until you stop its renewal (Section 9).

Chosen billing day

When you subscribe, you may choose the day of the month of your charges, from the 1st to the 28th. This choice is final; to change it, contact support.

The reference time is the time you subscribe or, if your current access has not ended, the end of that access. The first charge falls at the time you subscribe or, in the second case, two hours before the end of your access. The chosen day that applies is the first one on or after the date that falls six hours after the reference time, in your local time; a reference time from 6 p.m. onwards therefore counts from the next day. If that chosen day is the date of the reference time and the first charge falls on that same date, the full price of the plan is charged at the first charge and no partial amount applies; the following charges then fall each month or each year on that date. Otherwise, the first charge is the part of the period from the first charge up to noon (local time) on the chosen day, counted to the second, computed as follows: price of the plan × that time ÷ length of the period (month or year) that ends at that noon, rounded to the nearest cent and capped at the price of the plan. The annual plan uses the annual price and the length of the year. The full price of the plan is then charged on the chosen day at noon, then each month or each year on that date. If free days are added to your access after you save your card and before your subscription starts, the first charge moves to two hours before the new end of your access; if the amount of that first charge would then be higher than the amount shown, no subscription is created and nothing is charged. The amount shown before you save your card is the maximum amount of the first charge; it is never higher. Like the subscription, this amount is non-refundable (article 8).

In this case, the Stripe payment page only saves your card. You accept the waiver checkbox of article 7 on the Tubindex pricing page, before you are redirected to Stripe. A business purchase cannot choose the billing day.

6. Invoicing

An invoice is issued automatically for each payment, monthly or annual, and made available in your account area at /settings. It includes:

  • full identification of ATOM47 EOOD;
  • your identification (email, and name/company name if provided);
  • the plan subscribed (monthly or annual) and the period covered;
  • the net amount, the applicable tax (rate and amount), and the total amount;
  • the date and reference of the transaction.

Business customers holding a valid VAT number may enter it in their settings so that it appears on their invoices. An invoice issued under the reverse charge carries the mention "Reverse charge".

7. Right of withdrawal (EU consumers)

Directive 2011/83/EU and applicable Bulgarian law in principle provide a fourteen (14) day withdrawal period for a contract concluded at a distance.

Trial before any payment. The thirty (30) day free trial (Section 4) lets you try the whole Service before any payment. No charge occurs during the trial, and you remain free not to subscribe.

Immediate performance and waiver. Paid access starts as soon as you subscribe. At payment, you must tick the following mandatory checkbox, without which the subscription cannot be completed:

"TubIndex gives a 30-day free trial to try the service before you pay. I ask for immediate access and I give up my 14-day right of withdrawal. No refund is possible after the subscription. I can stop the renewal at any time, and the service continues until the end of the paid period. I accept the terms of sale."

By ticking this checkbox, you expressly request the immediate performance of the Service and you expressly waive your fourteen (14) day right of withdrawal. This request and this waiver apply to the plan subscribed, monthly or annual, and to its renewals.

8. Refund

  • No refund is possible after subscription, whether the plan is monthly or annual. This also applies to the unused part of a paid period.
  • You may stop the renewal at any time (Section 9): you retain access to the Service until the end of the current paid period, with no prorated refund.
  • A plan change (Section 9) gives rise to no proration, no credit and no refund.
  • This rule does not limit your statutory rights if the Service is not in conformity.

9. Cancellation

You may stop the renewal of your subscription at any time, without reason or penalty, from the /settings page of your account.

The stop takes effect at the end of the current paid period, monthly or annual: you retain access to paid features until that date, then the account automatically switches to a free or restricted mode.

No cancellation fee is charged.

Plan change

You may switch from the monthly plan to the annual plan, or the reverse, from the /settings page. The change takes effect at the end of the current paid period. The new plan applies from the next renewal, at its price. The change gives rise to no proration, no credit and no refund.

While a plan change is pending, you must first cancel that change before you can stop the renewal.

10. Price changes

We may adjust our pricing. Any change will be notified to you by email at least thirty (30) days before it takes effect.

During this period, you may stop the renewal free of charge from /settings. Otherwise, the new pricing will apply from the next renewal, monthly or annual.

11. Liability and force majeure

Our total liability under these Sales Terms is capped at the amount actually paid over the three (3) months preceding the triggering event, without prejudice to mandatory consumer law provisions.

We cannot be held liable for any damage resulting from a case of force majeure as defined by applicable local case law (notably: a major outage at a technical sub-processor, a restriction imposed by YouTube, a widespread network incident, a binding administrative decision).

12. Consumer mediation

In the event of an unresolved dispute, you may free of charge submit your complaint to a consumer mediation body:

  • Bulgarian consumers: Commission for Consumer Protection (КЗП — CPC), https://kzp.bg.
  • French consumers: a mediator competent in e-commerce (for example FEVAD — Fédération du e-commerce et de la vente à distance, https://www.fevad.com).

13. Governing law and jurisdiction

These Sales Terms are governed by Bulgarian law, subject to the mandatory consumer protection provisions of your country of habitual residence.

For consumer users, the courts of the user's country of residence have jurisdiction. For business users, the courts of Sofia (Bulgaria) have exclusive jurisdiction.
